To: Board of Directors and Members PURSUANT to the call of a majority of the Board of Directors named in the Certificate of Formation of the Corporation, NOTICE IS HEREBY GIVEN that the Board of Directors and the Members of The Woodlands Convention and Visitors Bureau, a Texas non-profit corporation (the “Corporation”), will meet at the principal office of the Corporation, at 2801 Technology Forest Boulevard, The Woodlands, Texas 77381, on December 14, 2022, at 11:30 a.m., for the purpose of:


1.					Pledge of Allegiance;

2.					Call to order and adoption of Agenda;

3.					Public Comment;

4.					Members Elect the Directors for The Woodlands Convention & Visitors Bureau Board of Directors;

5.					Directors Elect Officers for The Woodlands Convention & Visitors Bureau;

Members Elect the Directors for The Woodlands Convention & Visitors Bureau Board of Directors;
BACKGROUND:
In accordance with the Bylaws of The Woodlands Convention and Visitors Bureau (TWCVB), a 501 (c)(6) nonprofit corporation, Members of TWCVB are charged with the responsibility of electing Directors to serve on the Board of Directors for TWCVB. The election of Directors by Members shall occur at the Board of Director’s and Members’ Annual Meeting at the principal office of TWCVB, 2801 Technology Forest Boulevard, The Woodlands, Texas 77381, on December 14, 2022 at 11:30 a.m. The Woodlands Township Board of Directors appointed Brad Bailey, Linda Nelson, and Richard Franks to serve as the Members of TWCVB. The Woodlands Convention & Visitor Bureau by-laws gives authority to the appointed members to elect the Directors at the Annual Meeting each year. Member Directors that served for the 2022 term: Bruce Rieser, Chairman John Anthony Brown, Vice-Chairman Dr. Shelley Sekula-Gibbs, Director Non-Member Directors that served for the 2022 term: Fred Domenick, General Manager of The Woodlands Waterway Marriott Hotel & Convention Center Cameron Klepac, Director of Marketing & Education of The Cynthia Woods Mitchell Pavilion Monique Sharp, President & Chief Executive Officer of The Woodlands Township Jenny Taylor, General Manager of Market Street
RECOMMENDATION

In accordance with the Bylaws of The Woodlands Convention and Visitors Bureau (TWCVB), a 501 (c) (6) nonprofit corporation, the Board of Directors of TWCVB is charged with the responsibility of electing Officers of TWCVB and Officers to serve on the Board of Directors for TWCVB. SUBJECT MATTER:
Receive, consider and act upon a Service Agreement between The Woodlands Convention & Visitors Bureau, known as Visit The Woodlands, and The Woodlands Township;
BACKGROUND:
As designated the official destination marketing organization of The Woodlands Township, Visit the Woodlands provides and oversees the following services to the Township to include, but not necessarily be limited to: Public relations campaigns to increase exposure of The Woodlands; Destination media buying and production, including television, radio, newspaper, web and other media outlets; Printing and production of destination marketing guides; International destination consulting and public relations; Coordination, marketing information and other resources to assist the tourism industry in The Woodlands as to create, maintain and project an appealing image on behalf of the Township; Promote The Woodlands as a destination to meeting planners, business travelers, tour operators and individual visitors; Promote and advertise The Woodlands hotels, convention and meeting facilities, attractions, entertainment venues, restaurants, retail centers and other businesses and organizations that serve visitors; Assist visitors and tour planners in planning and developing tours of the Township, including suggested itineraries and overnight accommodations; Work with regional, state, national and international partners in promoting The Woodlands as a destination; Develop and support training initiatives for hospitality employees in The Woodlands; Promote and advertise the transportation services available within and to The Woodlands; Annually, The Woodlands Township and The Woodlands Convention & Visitors Bureau, known as Visit The Woodlands, enter into a Service Agreement, included in attachment "A." The Agreement outlines the services to be provided by each party and defines the Township’s funding requirements for the budget year. Visit The Woodlands Board of Directors will start the process of discussion, review and final document to be sent to The Woodlands Township Board of Directors.

Receive, consider, and act upon a briefing of the Marketing and Sales efforts for 2023;
BACKGROUND:
The Woodlands Convention & Visitors Bureau (TWCVB, dba Visit The Woodlands) is the official destination marketing & management organization responsible for promoting The Woodlands to drive demand for both hotel and retail tax collections. The mission is to establish The Woodlands, Texas as a beautiful, lively and welcoming destination recognized regionally, nationally and internationally for first-class business, convention and leisure travel. Visit The Woodlands is a 501 (c) (6) organization funded by The Woodlands Township Hotel Occupancy Tax and managed by a Board of Directors whom oversee the mission, vision and budget of Visit The Woodlands. With these things in mind, Visit The Woodlands' marketing approach for 2023 has been established to align with key strategic initiatives – continuing to strengthen brand recognition and voice, showcasing the value of Visit The Woodlands and optimizing overall marketing spend. The Marketing Department has worked in conjunction with the Sales and Tourism Department to plan campaigns at optimal times that will best support Visit The Woodlands staff efforts and create the most impact for The Woodlands. Creative campaigns will be activated across numerous channels, targeting both domestic and international leisure travelers as well as meeting planners and businesses. Visit The Woodlands will work with the Marketing Committee to develop robust cooperative marketing campaigns to amplify The Woodlands message further. These initiatives combined with additional support from the agency and enhanced reporting, will allow Visit The Woodlands to take advantage of opportunities and provide ROI on marketing investments. 2023 MEDIA PLAN OVERVIEW Budget Allocations: Leisure 62%, Meetings 28%, Cooperative 4%, International 6% and Other 2% Audience & Target Markets: Leisure and Business Travelers (domestic & international) Meeting and Convention Planners, Businesses Campaigns and Activations: Traditional, Digital (Social, Display, Native, Email), Video, Audio, Out of Home, In-Market

The Woodlands Convention and Visitors Bureau, publicly known as Visit The Woodlands, proposes the following meeting dates for 2023 with the addition of proposed special meeting dates if necessary with a meeting time to be determined.
