NOTICE OF AUGUST 16, 2023 REGULAR MEETING OF MEMBERS AND BOARD OF DIRECTORS
To: Board of Directors and Members PURSUANT to the call of a majority of the Board of Directors named in the Certificate of Formation of the Corporation, NOTICE IS HEREBY GIVEN that the Board of Directors and the Members of The Woodlands Convention and Visitors Bureau, a Texas non-profit corporation (the “Corporation”), will meet at the principal office of the Corporation, at 2801 Technology Forest Boulevard, The Woodlands, Texas 77381, on August 16, 2023, at 8:30 a.m., for the purpose of:


1.					Pledge of Allegiance;

2.					Call to order and adoption of Agenda;

3.					Public Comment;

4.					Consider and approve Minutes from the July 2023 Special Board Meeting;

5.					Consider and approve Financial Report through June 2023;

6.					Receive, consider and act upon updates on the 2024 Visit The Woodlands Budget and Process;

7.					Receive, consider and act upon Marketing and Sales Initiatives;

8.					Recess to Executive Session to discuss matters relating to real property pursuant to §551.072, Texas Government Code; deliberation of economic development negotiations pursuant to §551.087, Texas Government Code; discuss personnel matters pursuant to §551.074, Texas Government Code; and to consult with the Corporation's attorney pursuant to §551.071, Texas Government Code;

9.					Reconvene in public session;

10.					Receive, consider and act upon holiday expenditures for the 2023-24 season in The Woodlands;

SUBJECT MATTER:
Receive, consider and act upon updates on the 2024 Visit The Woodlands Budget and Process;
BACKGROUND:
Annual budget planning began in May for Visit the Woodlands with staff working with Township’s Finance. The deadlines were as follows: Staffing five-year plan – Friday, May 5, 2023 Capital five-year plan and project forms – Friday, May 12, 2023 Operating budgets and Departmental Summaries – Friday, May 19, 2023 Staff presented the preliminary budget to Visit The Woodlands Board of Directors on May 17, 2023 which includes a request of $3.5 million, up from $3.3 million in 2023. A large portion of this increase is due to additional requests and demands on Visit The Woodlands. This budget included the addition of 2.5 new positions: Destination Development Coordinator Senior Sales Specialist Marketing Project Coordinator Visit The Woodlands Board of Directors approved this proposal on May 17, 2023. The Woodlands Township Board of Directors will begin its 2024 Budget Workshop beginning on Monday, August 21, 2023 which includes discussion of Visit The Woodlands budget.

SUBJECT MATTER:
Receive, consider and act upon holiday expenditures for the 2023-24 season in The Woodlands;
BACKGROUND:
In order to enhance holiday decorations in and around the Township’s Ice Rink, Visit The Woodlands Board of Directors appropriated $150,000 from its Fund Balance at its July Board meeting for additional holiday lighting. Staff received a proposal from Spectrum Events, the authorized producer of The Ice Rink and holiday lights program, and Township Parks & Recreation, to enhance the offerings for the 2023-24 season. These recommendations will be made at the August 16, 2023 Visit The Woodlands Board of Directors meeting.
