NOTICE OF FEBRUARY 19, 2020 REGULAR MEETING OF MEMBERS AND BOARD OF DIRECTORS
To: Board of Directors and Members PURSUANT to the call of a majority of the Board of Directors named in the Certificate of Formation of the Corporation, NOTICE IS HEREBY GIVEN that the Board of Directors and the Members of The Woodlands Convention and Visitors Bureau, a Texas non-profit corporation (the “Corporation”), will meet at the principal office of the Corporation, at 2801 Technology Forest Boulevard, The Woodlands, Texas 77381, on February 19, 2020, at 11:30 a.m., for the purpose of:


1.					Pledge of Allegiance;

2.					Call to order and adoption of Agenda;

3.					Receive, consider and act upon a Proclamation and Presentation for Don T. Norrell;

SUBJECT MATTER:
Directors vote to fill vacancy on The Woodlands Convention & Visitors Bureau Board of Directors;
BACKGROUND:
In accordance with the Bylaws of The Woodlands Convention and Visitors Bureau (TWCVB), a 501 (c)(6) nonprofit corporation, Directors of TWCVB are charged with the responsibility of filling any vacancy on the Board of Directors by electing a new Director through the affirmative vote of a majority of the remaining Directors. A Director who is elected to fill a vacancy shall be elected for the unexpired term of the vacancy. The remaining Directors shall elect the new Director at the Board of Director’s Meeting at the principal office of TWCVB, 2801 Technology Forest Boulevard, The Woodlands, Texas 77381, on February 19, 2020 at 11:30 a.m. With the Board’s role in setting budget and policy and a conscious effort to continue serving the best interests of The Woodlands Township, TWCVB, and the respective stakeholders of each, Nick Wolda has elected to step down from his role as a Director of TWCVB so that additional interests and organizations may be represented through TWCVB. Mr. Wolda tendered his resignation from the Board of TWCVB in February of 2020. Mr. Wolda will, however, retain his role as President of TWCVB through the duration of his term, as the efficient and effective representation of the interests of The Woodlands community and its citizens remains his primary concern and intention. The Members of TWCVB elected Nine Directors to the Board, including Nick Wolda, at the Annual TWCVB Members’ Meeting on Tuesday, January 14, 2020. Following Nick Wolda’s resignation, the remaining Board is comprised of the following eight (8) Directors: Bruce Rieser, John Anthony Brown, Fred Domenick, J. J. Hollie, Kevin Viteri, Shelley Sekula-Gibbs, Jenny Taylor, and Ted Harris. The TWCVB Bylaws grants the remaining Board the authority to fill the vacancy created by Mr. Wolda’s resignation at the Board of Director’s Meeting on Wednesday, February 19, 2020. Candidate Under Consideration for Election to Fulfill the Vacant Director Position: The remaining Directors of TWCVB (Bruce Rieser, John Anthony Brown, Fred Domenick, J. J. Hollie, Kevin Viteri, Shelley Sekula-Gibbs, Jenny Taylor, and Ted Harris) are considering the following individual to serve on the Board of Directors of TWCVB for the 2020 term: Cameron Klepac, Director of Marketing and Education, The Cynthia Woods Mitchell Pavilion
RECOMMENDATION
Elect and appoint Cameron Klepac to TWCVB’s Board of Directors to serve from February 2020 until the Annual Meeting in January 2021.

Receive, consider and act upon participation in hosting Connect Texas 2021 in The Woodlands;
BACKGROUND:
The Visit The Woodlands Sales Department set aside funds within the approved 2020 budget for an emphasis on welcoming meeting planners and event professionals. This initiative will allow them to experience The Woodlands firsthand through FAM trips and site visits. With this initiative in mind, Visit The Woodlands is looking to bring “Connect Texas” to The Woodlands in 2021. This two- and half-day trade show brings in 75+ qualified meeting professionals who specifically book business in Texas along with 75+ industry vendors. Connect is one of the nation’s leading tradeshow opportunities that was specifically created to associate destination and hotel suppliers to qualified event professionals. Visit The Woodlands Sales staff attends “Connect Marketplace” and “Connect Texas” on an annual basis. This is done in an effort to spread the word about The Woodlands as an ideal meetings destination and to capture new and beneficial business. In order to host “Connect Texas,” Visit the Woodlands would be responsible for hosting the closing reception at the 2020 event (approximately $15,000) and fully hosting the opening night reception for the 2021 event in The Woodlands (not to exceed 50,000). These funds were approved in the adopted 2020 budget in anticipation of this event. The Sales Advisory Committee has reviewed and confirmed the above financial obligations. The Committee recognizes the event to be a good opportunity to promote The Woodlands and to generate new business.
RECOMMENDATION
To approve the participation and contracting of "Connect Texas" to include the hosting fees for the closing reception at "Connect Texas" 2020, to host the opening reception for 2021 and to authorize Nick Wolda, President of Visit The Woodlands, to sign a contract for the aforementioned.

SUBJECT MATTER:
Receive, consider and act upon extending an agreement with World Triathlon Corporation;
BACKGROUND:
In 2010, The Woodlands Township and The Woodlands Convention and Visitors Bureau (now Visit The Woodlands) entered into a five-year agreement with the World Triathlon Corporation (WTC) to host the Memorial Hermann IRONMAN Texas. The Agreement has been amended on three occasions to address market changes including the extension of another five (5) years after the first five (5) years. The IRONMAN event has proved to be a very successful and attractive major event in The Woodlands, drawing thousands of athletes and spectators from around the world. WTC has one year remaining in the Agreement with The Woodlands Township and Visit The Woodlands, scheduled to take place Saturday, April 25, 2020. WTC has asked if Visit The Woodlands has interest in extending the term for another five (5) years. WTC points out the following information and benefts of the event in The Woodlands and Montgomery County area: The IRONMAN Triathlon consists of a 2.4-mile swim, a 112-mile bike and a 26.2-mile run completed in succession within a 17-hour timeframe. Provides an opportunity for residents of The Woodlands and Montgomery County to see some of the greatest endurance athletes in the world. The Woodlands is attractive to WTC as the venue for this premier event as The Woodlands is known as a world class community – home to hundreds if not thousands of world class athletes that welcomes the opportunity to host and participate in such a renowned event such as Ironman. There are thousands of volunteer opportunities for residents of the entire region to participate in the event and Ironman has been providing over $100,000 annually to local charities. The event serves as one of 23 global qualifying races for the Ford IRONMAN World Championship that takes place each October in Kailua-Kona, Hawaii. Throughout its 40-year history, IRONMAN has transformed from an event into a lifestyle and sports brand that continues to inspire millions each year to take on new personal challenges and demonstrate the mantra, “Anything Is Possible.” IRONMAN Triathlon attracts 2,800 participants from nearly all 50 states and 25+ countries. Live webcast creating 1.5 million in advertising impressions for The Woodlands on a global scale. Create an economic impact in millions of dollars a year through the sale of thousands of hotel room nights, retail shopping, food and beverage dinners and sales. See attached 2019 Economic Impact report. Venues for the IRONMAN event in The Woodlands includes Northshore Park, Lake Woodlands, The Woodlands Waterway, Town Green Park, Waterway Square, The Woodlands Waterway Marriott Hotel & Convention Center and numerous restaurants and retail shops. Hotels throughout Montgomery County and even into Harris County are used by athletes, families, spectators, vendors, media and volunteers.
